He was the president of Banco Votorantim S/A between September 2011 and November 2016, and also a director of Febraban (Brazilian Federation of Banks) over the same period. He is currently a founding partner of Inviste, a firm specialized in proprietary investments in real estate, venture capital and social impact businesses. He was the Executive VP of the Santander Group in Brazil and of Banco ABN AMRO Real S/A between 2002 and 2011, being a member of the Executive Committee in charge of the Corporate & Investment Banking (CIB) and Wholesale Banking areas in Brazil. Between 2007 and 2010, he was a member of the Executive Board of Anbima (Brazilian Financial and Capital Markets Association). He was also the Head of Investment Banking – Brazil at Dresdner Kleinwort Wasserstein between 1995 and 2002, an Advisor to Minister Fernando Henrique Cardoso in 1993 and a professor at the Economics Department of PUC RJ. Finally, he received an MBA from the London Business School in 1995.

Mauro Gentile Rodrigues da Cunha Independent director 04/29/2022

Graduated in Economics from the Pontifical Catholic University of Rio de Janeiro and with an MBA from the University of Chicago. Mauro Rodrigues da Cunha has over 27 years of experience in the capital markets and corporate governance. He served from 2012 to 2019 as President of AMEC – Association of Capital Market Investors. In this position, he led the association that represents around 60 institutional investors, with approximately USD 150 billion invested in the Brazilian equity market, with the aim of developing the capital market and defending the rights of minority shareholders. Prior to that, he worked at several asset managers, including Opus, Mauá, Bradesco Templeton, Professional Investor, Banco Pactual and Morgan Stanley Asset management, among others. He was also Chairman of the Board of Directors of IBGC – Brazilian Institute of Corporate Governance for two years, and board member of the institution for 7 years. At that time, the IBGC became a national reference in corporate governance, and one of the largest institutes dedicated to the theme in the world. Since 1999, he has participated in Boards of Directors and Fiscal Councils of Brazilian companies, always as an independent member. In 2013, he became the first independent member effectively elected by minority shareholders in Petrobras, where he worked for two years to reverse the dramatic situation in which the company was. Between 2019 and 2020 he served as Chairman of the Board of Directors of Caixa Econômica Federal. Today he serves as a member of the Board of Directors and Coordinator of the Audit Committee of Eletrobras – Centrais Elétricas Brasileiras, member of the Board of Directors and Coordinator of the Audit Committee of brMalls Participações, member of the Board of Directors, the People and Compensation Committee and the Audit Committee of Totvs and member of the Board of Directors of Klabin. Mauro is a consultant and professor of corporate governance, in addition to having the designations CFA (since 1997), CGI (IBGC), CGA (Anbima) and CNPI (Apimec).

Electrical Engineer graduated from the Federal University of Santa Maria. In 1985, he successively occupied the Secretariat of Legislative Affairs of the Ministries of Agriculture and  Chief of Staff of the Minister of Science and Technology in the Administration. Between 1994 and 2000, he served successively as Executive Secretary and Minister of Justice, President of the National Institute for Agrarian Reform (Incra), Executive Secretary of the Solidarity Community Program and Executive Secretary of the Ministry of Economic Development, Industry and Foreign Trade. In addition, he was a member and chaired the Board of Directors of BNDES. Between 1990 and 1993, he lead the Projects Department of the international news agency Inter Press Service (IPS). From 2001 to 2013, he was Vice President of Corporate Affairs at Ambev, a company of the Anheuser-Bush Inbev group in Latin America. He is currently a Guest Professor at INSPER, a member of the Board of Directors at Ambev and, until recently, at JOTA.info. Aditionally, he is also a member of non-governmental  Councils, non-profit organizations, such as Antônio and Helena Zerrener Foundation, Sonho Grande Institute – which he presides, the Lemann Foundation and the advisory board of CONIB – an organization for the political representation of the Jewish community. Brazilian. Furthermore, since 2014 he has been a Global Fellow at the Woodrow Wilson Center in Washington and CEO of his own consulting company. Graduated in Production Engineering from UFRJ, holds a Masters in Production Engineering from PUC Rio and a PhD from the Marshall School of Business, USC. He worked in Credit Suisse’s M&A area for 22 years, holding positions as Director, Vice President and Associate. From 2014 to 2019 he served as Director of Bank of America. He is currently a partner at CH Global Capital since April 2019, Chief Financial Officer at Itiquira Aquisition Corp. since February 2021 and member of the Board of Directors of Codemge since March 2021 and of Cemig since February 2022. The companies previously mentioned are not (i) part of the issuer’s economic group or (ii) are controlled by a shareholder of the issuer who holds a stake , directly or indirectly, equal to or greater than 5% of the same class or type of Company security.

Graduated in Production Engineering from UFRJ, holds a Masters in Operations from PUC-RJ and served as a member of the Strategy and Organizational Growth Chair at COPPEAD. He was a member of the boards of directors of Casas Pedro (between 2015 and 2019), Hortifruti Natural da Terra (between 2016 and 2017) and Grupo Uni.co (between 2020 and 2021). He is currently a partner at Grupo Visagio, where he works as a counselor and specialist consultant in organizational transformation and efficiency. Graduated in Engineering from the Federal University of Goiás in 1981, postgraduate in business administration from IBMEC – Rio de Janeiro in 2001 and, in 2005, in business management from FGV – Rio de Janeiro with extension at the University of California – Campus of Irvine. In 2009, he completed the EDP executive course at University of Pennsylvania – Wharton. He has solid experience in the Shopping Center industry, having experienced its performance in different economic cycles throughout Brazil. He has more than 30 years of experience in shopping center management, he worked for 20 years as Director of the Multiplan Group before joining brMalls. He was a member of the board of ABRASCE – Brazilian Association of Shopping Centers. Since the beginning of the company, he has held several positions, including Director of Operations and Development. In the last 5 years, he was a director of the Company, having served as Director of Operations and Development, where he remained until June 2015.
